Counsel Overview

Mastercard is seeking a commercially savvy, energized sales lawyer to join its dynamic Legal team as legal partner to the Asia Pacific (AP) Services business. Mastercard Services delivers end to end services, products, and solutions through innovative and proprietary transaction data analytics, data driven consulting, predictive analytics, cyber security, anti-fraud, and marketing and loyalty services, enabling clients across the Asia Pacific region to optimize, streamline, protect, and grow their businesses.

Reporting to the Vice President, Senior Managing Counsel for Services, Asia Pacific based in Sydney, this role provides legal and general commercial support to the Mastercard Services Sales business across the Asia Pacific, working closely with regional and global stakeholders in a fast paced, matrixed environment.

This position is based in Sydney, Australia.

Role
• Structure, draft, and negotiate complex commercial agreements in support of the Asia Pacific Services business, including master services agreements, statements of work, transactional agreements, consulting agreements, platform agreements, SaaS agreements, and marketing and promotional campaign agreements.
• Act as a strategic legal partner to the Asia Pacific Services leadership team, providing pragmatic, business focused advice on commercial transactions and broader business matters.
• Serve as a key liaison across regional and global legal teams, collaborating closely with Services legal leads in other regions and with Asia Pacific regional counsel to ensure consistency and alignment.
• Support the development and execution of regional and global initiatives designed to enhance the Services Legal function.
• Partner with cross functional stakeholders and subject matter experts on product development and go to market initiatives across Asia Pacific.
• Manage and advise on a wide range of issues, including indemnities, limitation of liability, data usage and privacy, intellectual property, regulatory and compliance matters, and tax considerations, in partnership with relevant subject matter experts and stakeholder teams.
• Balance commercial objectives with reputational, regulatory, and legal risk, ensuring that product structures and commercial agreements are consistent with Mastercard's corporate strategy, internal policies, and applicable laws and regulations across the Asia Pacific jurisdictions.
• Draft and maintain template documents, playbooks, training materials, and other essential resources.
• Oversee and manage outside counsel.
• Use AI in daily work to streamline processes and create efficiencies.
• Provide back up support to international colleagues in the Services Sales legal team and contribute to regional and global projects as required.

All About You
• 6+ years of relevant legal experience, gained in-house or within a law firm's technology practice group, including reviewing, drafting, and negotiating a variety of services and technology contracts.
• Demonstrated excellence in drafting and negotiating complex commercial agreements and managing sophisticated deal structures.
• Ability to manage and enjoy high volume, repeatable transactional work while also addressing novel, strategic, and complex issues.
• Pragmatic, solutions oriented, and business friendly, with a creative and commercial mindset and a strong “let's make it happen” attitude.
• Strong leadership and collaboration skills, with the ability to bring together diverse perspectives and manage competing priorities in a matrixed organisation.
• Comfortable working both independently and collaboratively with regional and global colleagues, while taking direction as appropriate.
• Proven ability to multi task effectively in a fast paced environment with short turnaround times.
• Excellent communication skills, with the confidence and judgment to interact daily with senior business stakeholders.
• A strong team player and collaborative approach, willing to take on responsibilities that support the broader team, region, department, and company.
• Demonstrated people leadership capabilities, with an interest in developing and mentoring others and contributing to a high performing legal team.
• A passion for fintechs, payments and technology industries.
• Admitted to practice law in Australia (or another Asia Pacific jurisdiction), in good standing.
• Proficiency in Mandarin or working with clients in the Greater China Market will be highly regarded.
